Terms and Conditions of Use

NEXUS (the "Service") is operated by Satoshi Payments, S.A.S. de C.V. (Mexican tax ID SPA220203NV2), domiciled at Av. Central 220, Col. San Pedro de los Pinos, Alcaldía Álvaro Obregón, C.P. 01180, Ciudad de México, México ("NEXUS", "we").

These Terms and Conditions (the "Terms") govern access to and use of https://nexus.eblas.link, its console, its MCP server and its API. By creating an account, connecting an agent or otherwise using the Service, you accept these Terms and the Privacy Notice. If you act on behalf of a company, you represent that you are authorized to bind it. If you do not agree, do not use the Service.

NEXUS is a persistent memory and cognition system for artificial intelligence agents. It lets the agents you connect (for example through Model Context Protocol or the REST API) store, query, relate and reason about information across sessions.

The Service is offered as early access ("beta"). Its features and availability may change, be added or be removed without prior notice during that phase. Plan prices and limits change only as provided in section 8.

Registration is open: anyone can create an account, no invite required.

You must provide truthful information and an email address you control. Console access is verified with one-time codes or identity providers; you are responsible for the security of your email and for all activity carried out from your account.

The account owner may invite other people to the account and assign them roles, and is responsible for the people and agents they grant access to.

Each agent connects with its own credential (agent token or OAuth authorization). Credentials are secret and belong to the account: do not publish them or share them outside it.

Everything an agent connected with your credentials does in the Service is deemed done by your account. You can revoke any credential at any time from the console; if you suspect a credential leaked, revoke it immediately.

You agree to use the Service in accordance with the Usage Policies (https://nexus.eblas.link/en/usage-policies), which are part of these Terms. Among other things, they prohibit violating the law or third-party rights, accessing other people’s accounts or systems, circumventing account isolation or authentication, attacking or overloading the Service, and reselling it without a prior agreement with NEXUS.

You keep all rights to the information you or your agents store in the Service ("Your content"). You grant us a limited, non-exclusive, revocable license to store, process, index, transform and analyze Your content solely to provide the Service to you, keep it secure and improve how it works for your account.

We do not sell Your content or use it to train third-party artificial intelligence models.

You are responsible for Your content and for holding the rights and, where applicable, the consent of the people whose personal data you include. For that data, NEXUS acts as a processor on your behalf.

The Service may generate inferences, hypotheses, summaries, relations or recommendations automatically, including with the help of language models. Such output may be incomplete or wrong. You must verify it before relying on it for important decisions; NEXUS does not guarantee its accuracy.

The Free plan («Gratuito») has no cost and includes, each month:

• Up to 150 new memories.
• Up to 2 active agents.
• No ingestion of web pages or documents (importing a URL or a file for NEXUS to process).

A memory is each event or observation your agents store in the Service. What NEXUS generates on its own while processing or maintaining your information does not count, and facts, rules, procedures, entities and relations are not counted separately. An active agent is each distinct agent credential (agent token or OAuth authorization) that uses your account during the month; if you revoke a credential, its place is freed. Limits are counted per calendar month, in Mexico City time, and renew on the 1st of each month.

Reaching a limit never deletes anything you already stored. Once the memory limit is reached, your agents cannot store new information of any kind (including facts, rules, entities and relations) until the limit renews or you change plans, but they can keep querying and correcting what is already stored. Once the agent limit is reached, an additional agent cannot use the account, not even to query, until the limit renews, you revoke another credential or you change plans. Technical limits to prevent abuse also apply.

We also offer optional paid plans, with higher limits stated when you subscribe. Subscribing is your choice, and you will not be charged without your express acceptance when you subscribe.

Paid plans are billed monthly in advance, in Mexican pesos (MXN), through Mercado Pago, which processes the payment; NEXUS does not receive or store your card details. The subscription renews automatically every month until you cancel it.

You can cancel your subscription at any time from your account. Cancelling stops future charges; you keep the plan until the end of the period already paid, after which your account moves to the Free plan.

If we change the price or terms of a plan you are already subscribed to, or reduce what the Free plan includes, we will notify you at least 30 days in advance. If you do not agree, you can cancel before the change takes effect.

The Service is provided "as is" and "as available". During the beta there is no service-level commitment: there may be outages, maintenance or loss of functionality. We make reasonable efforts to back up information, but we recommend you keep copies of anything critical to you.

The software, design, trademarks and documentation of the Service belong to NEXUS or its licensors. These Terms do not transfer any rights in them to you, other than the limited right to use the Service under these Terms.

If you send us suggestions or feedback, we may use them freely to improve the Service, without any obligation to you.

Termination. You are free to stop using the Service at any time. We reserve the right to suspend or terminate your access to the Service, or delete your account, if we determine that:

• You have breached these Terms or the Usage Policies.
• We must do so to comply with the law.
• Your use of the Service could cause risk or harm to NEXUS, other users or anyone else.

We may also terminate your account if it has been inactive for more than one year and you do not have a paid account. If we do, we will notify you in advance.

Appeals. If you believe we suspended or terminated your account in error, you can file an appeal by writing to us at [email protected].

Deletion. You may request deletion of your account at any time by writing to [email protected]. When an account is terminated, we will delete Your content within a reasonable period, except information we must keep by law or for the defense of rights, as described in the Privacy Notice.

We may decide to discontinue the Service. If we do, we will give you advance notice and refund any prepaid, unused services.

THE SERVICE IS PROVIDED “AS IS.” EXCEPT TO THE EXTENT PROHIBITED BY LAW, NEITHER NEXUS NOR ITS AFFILIATES OR LICENSORS MAKE ANY WARRANTIES (EXPRESS, IMPLIED, STATUTORY OR OTHERWISE) WITH RESPECT TO THE SERVICE, AND THEY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, SATISFACTORY QUALITY, NON-INFRINGEMENT AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF ANY COURSE OF DEALING OR TRADE USAGE. NEXUS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ACCURATE OR ERROR-FREE, OR THAT YOUR CONTENT WILL BE SECURE OR NOT LOST OR ALTERED.

YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUT FROM THE SERVICE IS AT YOUR SOLE RISK AND THAT YOU WILL NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION, OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE.

NEITHER NEXUS NOR ANY OF ITS AFFILIATES OR LICENSORS WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE OR DATA, OR OTHER LOSSES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NEXUS’S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE LIABILITY AROSE OR ONE HUNDRED UNITED STATES DOLLARS (US$100.00). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

Nor shall NEXUS be liable for the actions your agents take with information from the Service.

Some countries and states do not allow the disclaimer of certain warranties or the limitation of certain damages, so some or all of the terms above may not apply to you, and you may have additional rights. In that case, these Terms only limit NEXUS’s liability to the maximum extent permitted in your country of residence.

NEXUS’S AFFILIATES, SUPPLIERS, LICENSORS AND DISTRIBUTORS ARE INTENDED THIRD-PARTY BENEFICIARIES OF THIS SECTION.

If you are a business or organization, to the extent permitted by law, you will indemnify and hold harmless NEXUS, its affiliates and its personnel from any costs, losses, liabilities and expenses (including attorneys’ fees) arising from third-party claims that arise out of or relate to your use of the Service and Your content, or any breach of these Terms.

We may modify these Terms. We will publish the current version on this page with its update date and, if the change is material, notify you by email or in the console. Continuing to use the Service after the change takes effect means you accept it.

These Terms are governed by the federal laws of the United Mexican States. For their interpretation and enforcement, the parties submit to the competent courts of Mexico City, waiving any other jurisdiction that may apply, without prejudice to the rights consumer protection law grants you. If any provision is held invalid, the rest remains in effect.
